By engaging S. Jabari Coaching ("we," "us") for services, the client ("you") agrees to be bound by the following Terms and Conditions.
Services
S. Jabari Coaching provides services to established businesses and organizations.
Specific deliverables, timelines, and fees for a given engagement are defined in a separate scope of work, proposal, or invoice, and are not altered by these Terms.
Engagement and Communication
S. Jabari Coaching communicates with its clients through the methods and cadence agreed upon at the start of the engagement.
Delivery of agreed-upon services depends on the client providing timely responses and reasonably necessary access to information throughout the engagement.
Payment Terms
- Invoices are due upon receipt.
- Payments not received within 10 days (net 10) are subject to a 5% monthly late fee.
- Larger project-based engagements require a non-refundable security deposit equal to 10% of the total estimated project cost, billed weekly based on hours worked.
Cancellation and Rescheduling
Clients must provide at least 24 hours' notice to cancel or reschedule a session.
Excessive cancellations may be subject to a flat $10 cancellation fee, applied to the client's next invoice.
Confidentiality
- Any confidential information shared by the client during an engagement is protected under this Terms and Conditions policy.
- Confidential information disclosed by the client, including any intellectual property contained within it, remains the sole and exclusive property of the client.
- These confidentiality obligations remain binding for two years following the completion of services.
Intellectual Property
Frameworks, templates, and training materials created by S. Jabari Coaching to deliver its services remain the intellectual property of S. Jabari Coaching.
Custom deliverables created specifically for the client as part of an engagement belong to the client once delivered.
Independent Contractor Relationship
S. Jabari Coaching provides services as an independent contractor, not an employee, partner, or agent of the client.
Limitation of Liability
S. Jabari Coaching's total liability for any claim arising from services provided shall not exceed the total fees paid by the client for the engagement giving rise to the claim.
Term and Termination
Either party may terminate an engagement with written notice.
The client remains responsible for payment of fees for services rendered prior to termination.
Governing Law
These Terms are governed by the laws of the State of Georgia.
Updates to These Terms
These Terms and Conditions may be changed at any time. Revisions will be posted on the S. Jabari Coaching website along with their effective date.
Acceptance
Payment for services signifies the client's acceptance of these Terms and Conditions.
